Minerva Listed Bonds are issued by Minerva Lending plc. Any investment in the Minerva Listed Bond is not covered by the Financial Services Compensation Scheme. This investment is only directed at persons certified as high net worth investors, sophisticated investors or restricted investors, or who are Self-Certified as sophisticated investors in accordance with Financial Conduct Authority rules. The value of these untradeable and non-transferable bonds, and any income from them, can fall as well as rise and so you could get back less than you invest. Before making any investment, you should read the Investment Booklet, including the section entitled "Risk Factors". You should consider carefully whether an investment in the Minerva Listed Bonds is suitable in light of your personal circumstances and, if you have any concerns, seek independent advice from an appropriately qualified advisor.

What is an Investor?

Investor description:

The majority of people will fall into this category, as anyone can be an investor. The financial conduct authority refers to this classification as a ‘restricted investor’ because you cannot invest more than 10% of your net assets in non-readily realisable securities. If you would like to receive information on Minerva but you cannot make the statement below, please contact our helpline on 0845 468 8015.

Investor statement:

I make this statement so that I can receive promotional communications relating to securities in Minerva and in non-readily realisable securities. I declare that I qualify as a restricted investor because:

  1. in the twelve months preceding the date below, I have not invested more than 10% of my net assets in non-readily realisable securities; and
  2. I undertake that in the twelve months following the date below, I will not invest more than 10% of my net assets in non-readily realisable securities.
Net assets for these purposes do not include:
  1. the property which is my primary residence or any money raised through a loan secured on that property;
  2. any rights of mine under a qualifying contract of insurance; or
  3. any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependents are), or may be entitled; or
  4. any withdrawals from my pension savings (except where the withdrawals are used directly for income in retirement).

I accept that the investments to which the promotions will relate may expose me to a significant risk of losing all the money or other property invested. I am aware that it is open to me to seek advice from an authorised person who specialises in advising on securities which are non-readily realisable or have limited liquidity.

What is an Advised Investor?

Advised Investor description:

You are an advised investor if you are an existing client of a financial advisor or wealth manager, who will provide advice about the suitability of this investment for you.

Advised Investor statement:

I make this statement so that I can receive promotional communications relating to securities in Minerva and in non-readily realisable securities as an advised investor. I declare that I qualify as an advised investor because I confirm that I am a retail client of another Financial Conduct Authority regulated firm that will comply with the suitability rules in relation to the investment promoted. I accept that the investments to which the promotions will relate may expose me to a significant risk of losing all of the money or other property invested. I am aware that I should ensure that the regulated firm is able to advise me on securities which are non-readily realisable or have limited liquidity.

I confirm I am a client of another FCA regulated firm that will comply with the suitability rules in relation to the investment promoted. I accept that the investments to which the promotions relate may expose me to a significant risk of losing all of the money or other property invested.

What is a Self-Certified Investor?

Self-Certified Investor description:

This group is for people who have invested in more than one unlisted company in the last two years, or have been a member of a business angel syndicate or network for at least six months.

Self-Certified Investor statement:

I make this statement so that I can receive promotional communications which are exempt from the restriction on promotion of non-readily realisable securities or which have not been approved for the purposes of Section 21 of FSMA. I am Self-Certified sophisticated investor because at least one of the following applies:

  1. I am a member of a network or syndicate of business angels and have been so for at least the last six months prior to the date below;
  2. I have made more than one investment in an unlisted company in the two years prior to the date below;
  3. I am working, or have worked in the two years prior to the date below, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises;
  4. I am currently, or have been in the two years prior to the date below, a director of a company with an annual turnover of at least £1 million.

I accept that the investments to which the promotions will relate may expose me to a significant risk of losing all of the money or other property invested. I am aware that it is open to me to seek advice from an authorised person who specialises in advising on securities that are non-readily realisable or have limited liquidity.

What is a High Net-Worth Investor?

High Net-Worth Investor description:

If you earn more than £100,000 a year or have net assets of more than £250,000, the High Net-Worth category is probably applicable to you.

High Net-Worth Investor statement:

I make this statement so that I can receive promotional communications, which are exempt from the restriction on promotion of non-readily realisable securities or which have not been approved for the purposes of Section 21 of FSMA. The exemption relates to certified high-net worth investors. I declare that I qualify as such because at least one of the following two statements applies to me:

  1. I had, throughout the financial year immediately preceding the date below, an annual income to the value of £100,000 or more. Annual income for these purposes does not include money withdrawn from my pension savings (except where the withdrawals are used directly for income in retirement).
  2. I held, throughout the financial year immediately preceding the date below, net assets to the value of £250,000 or more.
Net assets for these purposes do not include:
  1. the property which is my primary residence or any money raised through a loan secured on that property; or
  2. any rights of mine under a qualifying contract of insurance; or
  3. any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependants are), or may be, entitled; or
